Acceptance

By accepting these Terms & Conditions (T&Cs), you agree to be bound by them in your capacity as an End User or Client of Zorbee and our related parties. Your use of the Platform is entirely voluntary, and by using any of our services, including browsing, you confirm that you accept these terms.

IMPORTANT PLEASE READ: Zorbee is a technology platform facilitating introductions between individuals and independent healthcare professionals. Zorbee is not a licensed healthcare provider and does not offer medical, therapeutic, or clinical services. Any health-related information provided on our platforms is for informational purposes only and should not be relied upon as a substitute for professional medical advice.

Zorbee does not directly provide or offer any healthcare, medical, or wellness services, nor does it offer medical advice. All such services and information are supplied by independent third parties, who operate under their respective regulations and jurisdictions. Zorbee is not directly affiliated with these third-party providers. Additionally, certain healthcare or medical services may not be available in specific regions.

Definitions

Client: an End User who enters into a contractual relationship with a HCP or is otherwise receiving medical support directly via our Platform.

End User: any Person using our Platform, herein also referred to as “you” or “your.”

Health Care Professionals (HCP): any approved health care professionals listed on our Platform.

Person: any natural person, legal entity, or other incorporated organisation.

Platform: the online healthcare platform made available by Zorbee, including the Platform Features.

Platform Features: the specific features on our Platform, which may be amended from time to time, including; booking and payment services, secure messaging and video calls, and care plan tools.

Service Agreement: the legal contract between the HCP and the Client.

Zorbee: Zorbee Ltd, a company registered in England with company number 16119773, whose registered address is Sigma House, Oak View Close, Torquay, England TQ2 7FF, herein also referred to as “we”, “our”, or “us”.

1. Our Platform

1.1 Our Platform connects Clients with HCPs through a searchable database, job postings, service request boards, secure communication tools, invoicing services, and safety features.

1.2 ​We work with suitably qualified and experienced HCPs, providing introductory and secure payment services only. We do not provide medical or healthcare advice.

1.3 ​Our Platform acts as an online marketplace for HCPs and facilitates payments securely. Zorbee does not directly provide medical or healthcare services unless expressly stated.

1.4 ​Our Platform is provided “as is,” and we do not provide any guarantees, warranties, or assurances in relation to its operation beyond what is expressly stated in these terms. We do not accept liability for any loss or damage resulting from the unavailability or misuse of our Platform.

1.5 ​We reserve the right to adjust, amend, or update our Platform, including suspending access for maintenance. We do not guarantee uninterrupted service due to factors beyond our control, such as network issues or hosting failures.

2. Services

2.1 Services provided by HCPs are subject to a Service Agreement. Zorbee is not responsible for any amendments made to such agreements and does not guarantee that changes will be accepted by HCPs.

2.2 ​Clients should independently verify the suitability of their chosen HCPs, the decision to enter into a Service Agreement shall be at the Clients sole discretion. We are not responsible for the selection process or service quality and act only as the introducer.

2.3 ​If a Client wishes to check, verify, or confirm any medical advice received from a HCP, it shall be the Client’s responsibility to consult with a suitably experienced healthcare professional of their choice.

3. Fees & Payment

3.1 Clients agree to pay HCPs at agreed rates plus platform fees (Local Authority End Users shall be exempt from platform fees). Payments are securely processed through Zorbee.

3.2 ​Direct payments outside the Platform are strictly prohibited and may result in account termination.

3.3 ​We reserve the right to adjust fees with prior notice. Late payments may incur additional charges, including collection costs.

4. Cancellations & Refunds

4.1 ​Clients must provide at least 48 hours’ notice for cancellations. Short-notice cancellations may be charged in full.

4.2 ​Refunds are generally not provided but may be granted if; a HCP fails to provide any agreed services without reasonable grounds, a payment errors occur due to an obvious technical fault, or a dispute is resolved in favour of the Client and a refund is determined to be a fair outcome.

4.3​ We shall attempt to resolve any refund disputes amicably and timely where possible. Zorbee shall not be liable or responsible for refunding payments made directly to HCPs.

5. Registration & Account Conduct

5.1 ​Upon registration on our Platforms minimum age restrictions shall apply; Clients and HCPs must be over 18 years old.

5.2 ​Registration requires accurate information, and we may reject or suspend accounts if incorrect details are provided.

5.3​ End Users must act respectfully, ethically, and professionally. HCPs must maintain professional conduct and adhere to ethical standards. Any misuse of the Platform may result in account termination.

5.4 ​Zorbee reserves the right to suspend accounts pending an investigation into inappropriate conduct, discrimination, harassment, or abuse.

6. Complaints & Disputes

6.1 ​All complaints are taken seriously and investigated based on available information. Complaints about HCPs should be directed to them in the first instance. If you wish to make a complaint to us, you can use the contact details at the bottom of these T&Cs. Please allow us up to 28 days to resolve the issue. If you are dissatisfied with our response or the resolution process, you may escalate the dispute to alternative dispute resolution (see clause 10).

6.2​ We are not a party to any Service Agreements and assume no liability for disputes between Clients and HCPs. If a dispute arises between a Client and HCP, they shall promptly notify Zorbee who shall use reasonable efforts to resolve such dispute amicably within 14 days. If unresolved, the dispute may be escalated to an independent arbitrator or regulator whose decision regarding the dispute shall be final.

6.3 ​Without any admission of liability, we will endeavour to resolve any complaints or dispute with you quickly and efficiently. If a dispute cannot be resolved between us, the matter should be referred to alternative dispute resolution (ADR).

7. Data Protection & Privacy

7.1 ​Zorbee processes personal data in compliance with the GDPR and our Data Protection Policy.

7.2 ​For more information about how we use your personal data you may refer to our Privacy Policy available on our website.

7.3 ​End User data may be anonymised for research or service improvements.

8. Account Suspension

8.1 ​End Users may only access the Platform for its intended lawful purposes.

8.2 ​End Users must not copy, modify, damage, or disrupt the Platform in any way. All intellectual property rights shall remain with Zorbee.

8.3 ​We may suspend or terminate your account for any breach or suspected breach of these terms. You may dispute this via our complaints process, however your account will continue to be suspended or terminated until such dispute is finally resolved.

9. Liability

9.1 ​Zorbee is not responsible for the quality of care provided by HCPs. Clients are solely responsible for selecting and engaging with HCPs.

9.2 ​While we vet HCPs by carrying out background checks, verifying identity and taking reasonable steps to confirm qualifications and experiences, we do not assume liability for any issues related to service quality, competence, or conduct.

9.3 ​No guarantees, representations, or warranties are made by Zorbee in relation to any of the advice or services provided by the HCPs. Zorbee accepts no liability for any direct or indirect damages, injuries, or losses arising from the use of health-related information, advice or services provided by the HCPs.

9.4​ In any event, our liability to an End User is limited to the net amount received from such End User in the preceding six months.

10. General Terms

10.1 ​These T&Cs constitute our entire agreement unless otherwise agreed. We may amend these terms from time to time, End Users are responsible for monitoring any changes.

10.2 ​Any dispute arising out of or in connection with these T&Cs including questions about existence, validity, or termination, shall be referred to alternative dispute resolution (ADR) under the rules of the London Court of International Arbitration (LCIA).

10.3 ​These T&Cs are governed by English law. Any unresolved dispute which cannot be resolved by ADR shall be settled by the courts in England.
